Terms of Service
These terms cover your use of Shelfwise. They are written to be read, not to be survived.
Last updated:
1. Who this agreement is with
Shelfwise is operated by Olga Angel, doing business as Shelfwise, at 1017 N Palm Ave,Rialto, CA 92376, United States. In these terms, "we" and "us" mean that business, and "you" means the person or business usingShelfwise.
By creating an account, or by using the service after creating one, you agree to these terms. If you do not agree with them, do not use the service.
2. What the service is
Shelfwise is software that keeps a record of the products a studio stocks, the quantities on hand, and the changes made to those quantities. It sends an email when a product reaches a threshold you set, produces a reorder list, and reports monthly usage and cost.
It is a record-keeping tool. It does not place orders with suppliers, does not pay for anything on your behalf, and does not verify that a number you type is correct. What comes out of it is only as accurate as what goes into it.
3. Your account
- You need an email address and a password to create an account.
- Give accurate information when you sign up, and keep it accurate. If your email changes and you cannot receive password resets, you can lose access to your own account.
- Keep your password to yourself. You are responsible for what happens under your account, including activity by other people you add to your studio.
- Accounts are for one studio each. Do not resell access or run somebody else's stock on your account as a way of avoiding a plan limit.
- You must be at least 18 years old to hold an account.
- Tell us promptly at support@milani-cosmetics.com if you think someone else has your password.
4. The free trial
A new account starts with 14 days of the Studio plan, with every feature switched on. The trial does not ask for a card and does not convert into a paid plan by itself. The billing page inside the app shows the date it ends.
When the trial ends, your catalog, stock history and reports remain readable and you can still sign in, but editing stops until a plan is active. Nothing is deleted at the end of a trial.
We may offer a trial once per person or business. Creating repeated accounts to keep taking free trials is not permitted.
5. Plans and prices
Current plans and prices are listed on the pricing page. In summary, Solo is $12 a month for one user and up to 300 products, and Studio is $29 a month for up to 5 users, unlimited products and CSV export. Prices are in US dollars.
We can change prices. If we do, we will tell you by email before the change takes effect, and you can cancel before it applies rather than being charged the new amount.
6. Billing and renewal
Plans are billed monthly in advance, not annually. Billed every month on the date you subscribed. Your plan renews automatically at the end of each month until you cancel.
Card payment is not switched on at the time of writing. While that is the case, the app shows no Subscribe button, takes no card details, and a subscription is arranged by email. The billing terms described here apply to subscriptions arranged that way as well as to card payments once they are available.
Any sales tax that applies to your purchase is shown before you are charged. If a payment fails, we may suspend editing (not reading) until it is settled.
7. Cancellation and refunds
You can cancel at any time. Cancel any time from your billing page or by email. Access continues to the end of the month you already paid for, and the plan does not renew.
Refunds are covered by the refund and cancellation policy, which forms part of these terms.
8. Acceptable use
You agree not to:
- Break the law using the service, or use it to store data you have no right to hold.
- Try to reach another studio's data, or probe, scan or overload the service, or work around authentication or plan limits.
- Upload anything malicious, or anything designed to disrupt the service for other people.
- Copy, resell or sublicense the software, or use it to build a competing product.
- Misrepresent who you are, or use another person's account without permission.
If use of the service threatens the security or stability of the service for others, we may suspend the account while we deal with it.
9. Your data
The product records, stock counts, notes and reports you create belong to you. We store and process them to run the service for you, and for nothing else. We do not sell them, and we do not use them to train anything.
You can ask for a copy of your data, or for your account and its data to be deleted, by writing from the email address on the account to support@milani-cosmetics.com. The privacy policy describes what is stored and for how long.
10. Our content
The software, this website, its text and its design belong to us. You get a non-exclusive, non-transferable right to use the service for your own business while your plan is active. You do not get ownership of the software, and you may not copy or redistribute it.
11. Availability and changes to the service
We work to keep the service available, but we do not promise uninterrupted service. Maintenance, hosting problems or faults can cause downtime, and we may change or remove features. If we remove a feature that a plan depends on, we will say so by email rather than letting you find out from a missing button.
12. Suspension and ending the agreement
You can stop using the service and cancel at any time. We can suspend or close an account if these terms are broken, if a payment is not settled, or if the law requires it. Where it is reasonable to do so, we will tell you first and give you a chance to take a copy of your data.
13. Disclaimers
The service is provided as it is. We do not promise that it will be free of errors, or that a stock figure, a cost figure or a reorder list will be accurate, because those depend on what you enter and on the prices you record. Decide for yourself whether a number here is good enough to order against.
To the extent the law allows, we exclude implied warranties, including fitness for a particular purpose and merchantability.
14. Limit of liability
To the extent the law allows, our total liability to you for anything connected with the service is limited to the amount you paid us in the twelve months before the claim. We are not liable for lost profit, lost business, or for the cost of stock you bought, failed to buy, or threw away.
Nothing in these terms excludes liability that cannot be excluded by law, including for fraud.
15. Which law applies
These terms are governed by the laws of the State of California, without regard to its conflict of law rules. You and we agree that the state and federal courts located in San Bernardino County, California have exclusive jurisdiction over any dispute arising out of these terms or the service, and both of us consent to those courts.
Before starting anything formal, write to us. Most disagreements between a small software business and its customer are settled in one email.
16. Changes to these terms
We may update these terms. If a change is significant, we will email you before it takes effect. Continuing to use the service after a change means you accept the updated terms. The date at the top of this page always shows the current version.
